By engaging OpenDigital’s services, you agree to these Terms and Conditions. Please read them carefully.

1. Scope of Services

OpenDigital provides IT consulting, custom app development, AI solutions, cloud setups, and tech strategy for startups. Services are delivered as agreed in written contracts or project proposals. We reserve the right to modify services due to unforeseen circumstances, with prompt client notification.

2. Payment Terms

  • Invoices are issued upon project milestones or monthly, payable within 14 days.
  • Prices exclude VAT, which is added per Norwegian tax regulations.
  • Late payments incur a statutory interest rate per the Norwegian Interest Act.
  • All payments must be completed before service delivery unless otherwise agreed.

3. Client Responsibilities

  • Provide accurate project requirements and timely feedback to ensure efficient delivery.
  • Ensure lawful use of provided software and services, complying with Norwegian laws.
  • Notify OpenDigital of any issues within 7 days of service delivery.

4. Data Protection

  • OpenDigital complies with GDPR and the Norwegian Personal Data Act, processing personal data only as necessary for service delivery.
  • Clients consent to data processing for project purposes; data is not shared without consent.

5. Liability and Warranties

  • OpenDigital delivers services with professional care but is not liable for indirect losses (e.g., lost profits).
  • Total liability is limited to the project fee paid, per Norwegian contract law.
  • Services are provided “as is”; no additional warranties beyond statutory requirements.

6. Termination

  • Either party may terminate with 30 days’ written notice, unless otherwise agreed.
  • Termination due to breach requires 14 days’ notice to remedy, per Norwegian law.
  • Upon termination, clients pay for completed work; no refunds for prepaid services.

7. Intellectual Property

  • OpenDigital retains ownership of proprietary tools and code unless transferred in writing.
  • Clients receive a non-exclusive license to use delivered software for agreed purposes.
  • Clients warrant that provided materials do not infringe third-party rights.

8. Force Majeure

OpenDigital is not liable for delays or failures due to events beyond our control (e.g., natural disasters, strikes), per Norwegian contract law. Clients will be notified promptly.

9. Dispute Resolution

  • Disputes are governed by Norwegian law and resolved in Oslo District Court.

10. Transparency Act Compliance

11. Amendments

  • Terms may be updated with 30 days’ notice via our website or email.
  • Continued use of services after updates constitutes acceptance of new terms.
